The Commission Program Agreement

PLEASE READ THE ENTIRE AGREEMENT. YOU MAY PRINT THIS PAGE FOR YOUR RECORDS. THIS IS A LEGAL AGREEMENT BETWEEN YOU AND LUXDEZINE CORP.

BY SUBMITTING THE ONLINE APPLICATION, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD THE TERMS AND CONDITIONS OF THIS AGREEMENT AND THAT YOU AGREE TO BE LEGALLY RESPONSIBLE FOR EACH AND EVERY TERM AND CONDITION.

1. Overview

This Agreement contains the complete terms and conditions that apply to you becoming a member with Luxdezine’s Commission Program. The purpose of this Agreement is to allow YOU to earn commission by availing our products for your projects. Please note that throughout this Agreement, "we," "us," and "our" refer to Luxdezine and "you," "your" and "yours" refer to the member.

2. Commission Program Partner Obligation

To begin with the sign up process, you need to complete and submit the online application provided at the https://sale.luxdezine.com. The fact that you applied for the said program does not imply that we must verify and approve your membership application. We have the right to decline your application at our sole discretion if we find that you are not eligible to join the Program.

3. Commission Program Rules

A. MEMBERSHIP REGISTRATION AND ACCOUNT SECURITY

• A.1 By accessing the Program and/or using the services therein, you hereby confirm that you are of legal age, capable of entering into binding contracts and agree, without limitation or qualification, to be bound by these Terms and Conditions.

• A.2 Every member is required to register as a user before submitting any projects to the Program.

  Upon registration:

  • i. Members must provide us with accurate, complete and up to date registration information.

  • ii. We are authorized to assume that any person using the Program with Member’s username and password is either the Member or is authorized to act for the Member.

• A.3 You are responsible to protect your username and password that you use to access the Program and for any activities or actions under your username and password. We cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.

• A.4 Members must update their profile information from time to time for any changes.

• A.5 Should you find any unauthorised use of your login, you must notify us immediately to work on this matter.

• A.6 In the event that your user account is not used for a specified period (within 3 years), we will deem your account to be no longer in use and we will deactivate it for your own as well as for our company’s protection.

B. PROJECTS MADE WITH LUXDEZINE

• B.1 All projects created in our Program must be accurate with complete information provided to avoid inconvenience.

• B.2 By partnering with us, you agreed that you need to refer or recommend our products to your clients for your projects in order to receive your commission.

• B.3 Please note that commissions you will be earning are based on your input and rate we provide. Other rewards will also be given depending on how you refer or sell our products to your clients.

• B.4 The commission rates will be discussed between you and the manager once you are approved to be part of the said Program.

C. HOW COMMISSION PROGRAM WORKS

• C.1 To be able to become our Partner, you must sign up first and complete the details asked in our registration form.

• C.2 Upon registration, a verification code will be sent to your email. Copy the code and paste it to the verification form.

• C.3 Once the registration is completed, we need to verify your account first before you proceed to officially become our Member. Please note that we may decline some registrations due to incapability of joining the Program.

• C.4 If your account is verified, you will be redirected to your dashboard. You will view your profile, projects you created, updates and announcements, and the list of the top highest commission earners.

• C.5 To earn commissions, you must refer your clients to purchase products from Luxdezine.

• C.6 Please be informed that you will only get paid when the project is completed and/or full payment is already made by your client. We reserve the right not to pay you unless you followed our rules.

• C.7 You will be able to receive your commission and other incentives via bank deposit or cash so you are required to provide us with your bank account details.

• C.8 The commission and other monetary rewards such as incentives will be sent to your bank account within five working days after full payment is received.The amount of commission you will receive depends on the product category, amount of project, as well as your capability and input.

D. PAYMENT

• D.1 Payments from clients should be made in the form of check, bank transfer or cash.

4. Rights and Obligations

We have the right to monitor the status of your projects in our Program at any time to determine if you are following the terms and conditions of this Agreement.

5. Termination

We have the absolute discretion to refuse registration of a potential Member that is qualified for the commission program. We can terminate the registration of a member for violating the agreement laid by Luxdezine.

6. Promotion Restrictions

All promotions involving Luxdezine by your party should be reviewed by Luxdezine marketing team and will be subjected for approval.

7. Warranty

All products subject to warranty should follow the guidelines for return and warranty.

8. Confidentiality

• a. We are committed to protecting the privacy of our Members with respect to their personal data. We therefore make sure that our policies and practices in relation to collection, use, retention, transfer and access of personal data comply with the requirements of the Data Protection Act and the relevant rules and regulations.

• b. We may suspend the Program for any just and reasonable cause, including but not limited to, repairs, planned maintenance or upgrades, and shall not be liable to you for any such suspension.

• c. We reserve the right to make any changes to the Program or to discontinue any content or feature anytime without notice.

• d. We shall not be liable for any bank account fraud. You agree to be responsible and to protect your bank information against any financial account fraudulent transactions that are not connected to our company.

9. Miscellaneous

You agree that you are an independent operator, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Luxdezine. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement that reasonably would contradict anything in this Section.

10. Intellectual Property

• a. You acknowledge that the Program contains information, data, software, photographs, graphics, text, images, typefaces, and other material such as the content that are protected by copyrights or other proprietary rights. These rights are valid and protected in all forms, media, and technologies existing now or hereinafter developed. You acknowledge that all such Content is proprietary to the Program. You may not modify, remove, delete, augment, add to, publish, transmit, create derivative works from, or in any way use or exploit any of the Content, in whole or in part.

• b. None of these Terms and Conditions gives you the right to use the Program’s name or any of our trademarks, logos, domain names, and other distinctive brand features, as you may not use the same without our permission.

• c. If you are granted to be permitted, you will only be allowed to download, print or use the content for personal and non-commercial uses, understanding that you do not modify the content, and we or the relevant copyright owners retain all copyright and other proprietary rights and notices contained in the Program.

DISCLAIMER

UNDER NO CIRCUMSTANCES SHALL THE COMPANY OR ITS AFFILIATES, PARTNERS, SUPPLIERS, OR LICENSORS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES ARISING OUT OF OUR CONNECTION WITH OUR ACCESS OF USE OR INABILITY TO ACCESS OR USE THE PROGRAM AND ANY THIRD PARTY CONTENT SERVICES, WHETHER NOT THE DAMAGES WERE FORESEEABLE AND WHETHER OR NOT THE COMPANY WAS ADVISED THE POSSIBILITY OF SUCH DAMAGES.
